Special General Meeting 22nd April 2009

CARRICKFERGUS SAILING CLUB

SPECIAL GENERAL MEETING

to be held in the Clubhouse at

7.30pm on Wednesday 22 April

(Family, Honorary, Life, Ordinary and Senior Members all have one vote.)

Agenda:

1. To approve the Memorandum of Understanding and Articles of Association pending the forming of a company limited by guarantee.

This follows the motion carried at the Special General Meeting of 10 September 2008:

‘Subject to the agreement at a further Special General Meeting of the Memorandum of Understanding and Articles of Association, the Committee proposes that Carrickfergus Sailing Club becomes a Company Limited by Guarantee.’

Copies of the Memorandum of Understanding and Articles of Association will be:

1. Emailed to those Members who have supplied the Club with a current email address.
2. Emailed to members who have NOT supplied the Club with an email address but who now choose to do so.
3. Hard copies will be available at the Clubhouse.
4. Hard copies will also be posted by Royal Mail should Members request them.  Please supply a C5 (half A4 approx.) stamped addressed envelope.

No business will be discussed other than that which is on the Agenda or relevant business which has been provided in writing to the Honorary Secretary by 5.00 pm on Wednesday 15 April 2009.

The Committee is indebted to Davy McAughey, Club Member and Barrister at Law for his invaluable assistance in drawing up the.

2. To introduce a Draft Business Plan for the Club.

INFORMATION EVENING

7:30PM Wednesday 07 October in the Club

 

1. To update Members on the Elite Facilities Programme bid and to refresh proposals for the development of the Club site should the Club be successful in gaining grant support from Sport Northern Ireland.
2. To receive a detailed report of the Club’s financial position and the implications for the Club whether successful in the bid or not.

Notice is hereby given of a Special General Meeting 

of the

Carrickfergus Sailing Club

to be held in the Club House on

Wednesday 02 December 2009 at 7.00PM

 

AGENDA:

1.To accept the minutes of the Special General Meeting to which was held in the Club House on 22nd April 2009

2.To amend said Articles of Association in the following manner:

a)Corrected Club Name Page 3

b)Renumbered articles from page 4 onwards i.e. 4.1 becomes 2.1 etc.

c)4.18 Added "House, Sailing and Student Associates" twice (now 2.18) omitted from document presented at SGM 22 April

d)6.1 Corrected Club Name (now 4.1)

e)6.21 Added "emailed" omitted from document presented at SGM 22 April (now 4.21)

f)7.3 (now 5.3) deleted:

“but with the consent of all the members having the right to attend and vote thereat, or of such proportion of them as is prescribed by the Statutes in the case of meetings other than annual general meetings, a meeting may be convened by such notice as those members may think fit.”

This is unnecessary for the Club’s type of Company

Commodore, Vice Commodore, Captain, Vice Captain, Honorary Secretary, Honorary Treasurer, Honorary Sailing Secretary and two Members.

8.To elect an Assistant Honorary Secretary, Assistant Honorary Treasurer and Honorary Membership Secretary.

N.B. Please assist the Meeting by supplying the Honorary Secretary with any questions in writing prior to the meeting and preferably by Wednesday 25 November.

Annual General Meeting

AGM 7.30pm. Friday 3^rd December 2010

Dear member,

The Management Committee invites you to attend the AGM of the club on the date above. We would love to see a large attendance at the meeting and in an effort to encourage you to attend we are having a different format with the business meeting followed by a light supper and some music.

It is possible that on receiving this letter you will have one of the following reactions - 

• Make a note in your diary and attend the meeting if at all possible.

           Make that note in your diary now!

• You think “I never attend the AGM.”

           There is always a first time to attend – make 2010 your first time.

           Make a note in your diary!

• You think, “I don’t need to attend. There are other members who take care of all that sort of thing.”

           The club is your club. It needs your interest and your help.

           Don’t leave it to others. Make a note in your diary!

• You think  “ I have not been a member long enough” or “I am too young”

           It is very healthy for the club to have new members and younger people attending. Make a note in your diary!

We hope you take the above encouragement in the light-hearted manner it is intended but we still hope you get the message – make a note in your diary – and come along!

10. To accept a proposal to create a Corporate Associate as "Such members, not being members of the Club, of sponsoring organisations as authorised by the Management Board."

11. To add in Article 2.3: A Corporate Associate shall have the full use of all the Club facilities during the term of their sponsorship"
